Terms & Conditions

This is a working content and layout draft for review. It is not an agreement and has not been approved for use with clients.

Draft structure · legal review required before publication

01

Who we are

The draft names Twenty & Three Ltd as the company behind Markko. The company number and registered office wording need checking against the company record before this text is used as contractual terms.

02

These terms

The draft proposes that these terms and a signed proposal or statement of work form the agreement for the services in that proposal, for business clients. It proposes that the signed proposal prevails where it says something different.

03

Our services

The proposal would describe marketplace strategy, product design, software development, modernisation, growth or support work, including deliverables, assumptions, timing and price. Work outside the agreed scope would need separate agreement.

04

Proposals & scope

The draft proposes a thirty-day proposal validity period, with work starting after signature and a first milestone invoice. The scope and start conditions need legal and commercial approval.

05

Fees & payment

The draft proposes milestone invoices, fourteen-day payment terms, VAT where applicable and a pause for late payment. Rates, triggers and interest wording need legal review.

06

Change requests

Refinement within an agreed scope would remain part of the work. New features or material redesigns would be quoted and agreed in writing before chargeable work begins.

07

Your responsibilities

The draft asks clients to provide timely people, content, systems and decisions, and to confirm their right to supply any material. Delays in those inputs could affect dates.

08

Intellectual property

The draft distinguishes bespoke work product from pre-existing tools, frameworks and third-party software. Assignment, licences and payment conditions require legal review in the final agreement.

09

Warranty

A proposed software warranty period and its exclusions appear in the working draft. The length, trigger and scope must be agreed before these terms are published or used.

10

Support & hosting

The draft envisages a separate support package for hosting, maintenance, response times and included hours. The package terms are not included here.

11

Confidentiality

The draft proposes mutual confidentiality for non-public information used in the work, with standard exceptions. Permission to name a client or describe a project needs explicit agreement.

12

Data protection

The draft calls for compliance with applicable data protection law and a separate data processing agreement where Markko processes personal data for a client. The final roles and documents require review.

13

Liability

The working draft contains a limitation of liability and exclusions. These are not approved clauses. A qualified legal review must set the final wording.

14

Termination

The draft proposes notice and material-breach routes for ending an agreement, with payment for work completed and a handover of paid work product. Dates and remedies require review.

15

Governing law

The draft proposes the law and courts of England and Wales. This needs confirmation for the final contracting entity and client arrangements.
